2. Acceptance of Terms
By requesting a quotation, purchasing any service, making a payment, or using our website, you acknowledge that you have read, understood, and agree to these Terms of Service.
If you do not agree with these Terms, please do not engage our services.
3. Services
Dimax Digital provides professional digital marketing and related services, including but not limited to:
- Search Engine Optimization (SEO)
- Website Design & Development
- Performance Marketing
- Google Ads
- Meta (Facebook & Instagram) Ads
- Social Media Marketing
- Branding
- Graphic Design
- Content Creation
- Digital Strategy & Consulting
- Other digital marketing services as mutually agreed.
The exact scope of work shall always be defined in the quotation, proposal, agreement, or invoice shared with the client.
4. Project Commencement
A project is considered officially initiated only after:
- Written approval from the client,
- Acceptance of the quotation/proposal,
- Receipt of the agreed advance payment (typically 50%), and
- Receipt of all required project materials, credentials, and information from the client.
Project timelines begin only after all the above conditions have been fulfilled.
5. Payment Terms
Unless otherwise agreed in writing:
- A minimum advance payment of 50% is required before commencement.
- Remaining payments shall be made according to the agreed milestones or before final delivery.
- Delayed payments may delay project timelines.
- Final deliverables may be withheld until outstanding payments are cleared.
All taxes, if applicable, shall be borne by the client.
6. Client Responsibilities
The client agrees to:
- Provide accurate information.
- Provide necessary approvals promptly.
- Share required content, credentials, logos, and materials on time.
- Review submitted work within reasonable timelines.
- Ensure they possess legal rights to all content provided.
Any delay from the client’s side may proportionately extend project timelines.
7. Revisions
Unless otherwise specified:
Website Design:
- Up to two (2) design revisions are included.
Advertising Copy:
- Unlimited reasonable revisions are included until the agreed campaign copy is finalized.
Any revisions beyond the agreed scope may attract additional charges.
Requests involving substantial redesign, additional features, or scope changes shall be treated as separate work and quoted accordingly.
8. Scope Changes
Any work requested outside the originally approved scope shall be considered additional work.
Additional services may require:
- Revised timelines,
- Additional quotations,
- Additional payments.
Dimax Digital reserves the right to accept or decline scope changes depending upon project feasibility.
9. Intellectual Property
Upon receipt of complete payment:
- Ownership of the final approved website, graphics, designs, and content specifically created for the client shall be transferred to the client.
- Source files shall be provided where applicable and agreed.
Dimax Digital retains ownership of:
- Internal methodologies,
- Frameworks,
- Templates,
- Proprietary tools,
- Software,
- Know-how,
- Processes,
- Third-party licensed assets.
10. Portfolio Rights
Unless specifically restricted through a written Non-Disclosure Agreement (NDA), Dimax Digital reserves the right to display completed work in its portfolio, website, social media channels, presentations, and marketing materials.
Confidential information shall never be disclosed without prior permission.
11. Third-Party Platforms
Certain services involve third-party platforms including but not limited to:
- Meta
- WordPress
- Shopify
- Hosting providers
- Domain registrars
- Payment gateways
Dimax Digital is not responsible for outages, policy changes, algorithm updates, account suspensions, or service interruptions caused by third-party providers.
12. Performance Disclaimer
Digital marketing results depend upon numerous external factors including:
- Competition
- Search engine algorithms
- Advertising policies
- Industry trends
- Customer behaviour
- Budget allocation
Accordingly, Dimax Digital does not guarantee:
- First-page Google rankings,
- Specific lead volumes,
- Sales,
- Revenue,
- Return on Ad Spend (ROAS),
- Traffic levels,
- Business growth.
We commit to delivering our services professionally using industry best practices.
13. Confidentiality
Both parties agree to maintain confidentiality of proprietary business information shared during the project.
Confidential information shall not be disclosed except where required by law.
14. Termination
Either party may request termination of the engagement only:
- Within one (1) week of project initiation; or
- By providing written notice at least three (3) weeks before the expected project completion date,
provided that valid and genuine reasons are communicated.
Advance payments are generally non-refundable once work has commenced.
However, refunds may be considered only after mutual discussion and written agreement if the termination is based upon legitimate circumstances.
Work completed up to the termination date shall remain payable.
15. Limitation of Liability
To the maximum extent permitted by law, Dimax Digital shall not be liable for:
- Indirect losses,
- Consequential damages,
- Loss of profits,
- Business interruption,
- Data loss,
- Reputation loss,
- Missed business opportunities.
Our total liability shall never exceed the amount actually paid by the client for the relevant project.
16. Force Majeure
Neither party shall be liable for delays caused by circumstances beyond reasonable control, including natural disasters, pandemics, government restrictions, internet outages, cyberattacks, labour disputes, or similar events.
17. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra.
18. Changes to These Terms
Dimax Digital reserves the right to modify these Terms at any time.
Updated versions shall become effective immediately upon publication on our website.
Continued use of our services constitutes acceptance of the revised Terms.

Refund Policy
Effective Date: 31 July 2026
At Dimax Digital, we strive to deliver high-quality digital marketing and web solutions. This Refund Policy explains the circumstances under which refunds may or may not be issued.
1. Before Project Commencement
If a client cancels the project before any work has commenced, a full (100%) refund of the advance payment shall be issued.
A project is considered commenced once planning, research, design, development, strategy preparation, account setup, or any billable work has begun.
2. After Project Commencement
Once work has commenced, advance payments are generally non-refundable because resources, time, and professional effort have already been allocated.
However, Dimax Digital may consider a partial refund where:
- the cancellation is supported by a genuine and valid reason;
- both parties mutually agree in writing; and
- the amount refundable is determined after deducting charges for work already completed and expenses incurred.
3. Termination by the Client
The client may request termination only:
- within one (1) week of project initiation; or
- by providing at least three (3) weeks’ written notice before the expected completion of the project,
along with valid reasons.
Refunds, if any, shall be entirely at the discretion of Dimax Digital after reviewing the work completed.
4. Services Not Eligible for Refund
The following are generally non-refundable once delivered or performed:
- SEO work already executed;
- Advertising campaigns already launched;
- Media spend paid to Google, Meta, LinkedIn, or other advertising platforms;
- Domain registration fees;
- Hosting charges;
- Third-party software licences;
- Paid plugins;
- Stock images;
- Premium fonts;
- API charges;
- Consultancy sessions already conducted;
- Completed design work;
- Strategy documents already delivered.
5. Delays Caused by the Client
No refund shall be provided where project delays occur because the client:
- fails to provide required information;
- delays approvals;
- delays payments;
- changes project requirements repeatedly; or
- becomes unresponsive.
Project timelines may be extended accordingly.
6. Unsatisfactory Results
Digital marketing outcomes depend upon numerous external factors beyond our control.
Accordingly, dissatisfaction arising solely because desired rankings, traffic, leads, conversions, or sales were not achieved shall not automatically qualify for a refund.
7. Payment Gateway Charges
Where applicable, payment gateway fees, banking charges, taxes, and other third-party transaction costs may be deducted from refundable amounts.
8. Refund Timeline
Approved refunds shall ordinarily be credited within 7–15 business days using the original payment method or any mutually agreed method.
Actual credit timelines may vary depending upon banks or payment providers.
9. Disputes
In case of any dispute relating to refunds, both parties agree to first attempt resolution through good-faith discussions.
If no resolution is reached, disputes shall be governed by the laws of India and subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
